End User License Agreement (EULA)
Effective Date: September 9, 2025
This End User License Agreement (“Agreement”) is between you (“End User”) and Abacus Brands, Inc (“Licensee”), and governs your use of the licensed digital content and application (collectively, the “Licensed Application”). By downloading, installing, or using the Licensed Application, you agree to be bound by this Agreement.
1. License Grant
- You are granted a non-exclusive, revocable, non-transferable, non-sublicensable license to use the Licensed Application and any associated digital content (“Digital Content”) solely for your personal, non-commercial use within the territory in which the Licensed Application is made available.
- Except as expressly permitted, all rights are reserved by Licensee and its licensors (including ESPN).
2. Restrictions
You may not:
- Alter, transform, modify, extract, or create derivative works of the Digital Content.
- Transmit, sell, rent, lease, sublicense, assign, display, perform, distribute, or broadcast the Digital Content to third parties.
- Remove any proprietary notices, labels, or trademarks on or within the Digital Content.
- Disable, bypass, modify, defeat, or circumvent any security features used to protect the Digital Content.
- Use the Digital Content unlawfully, in violation of this Agreement, or in any manner that may harm the reputation or goodwill of Licensee, ESPN, or their licensors.
3. Ownership
- The Licensed Application and Digital Content are licensed, not sold, to you.
- All intellectual property rights remain the exclusive property of Licensee and ESPN (as applicable).
- Except for the limited license granted herein, no intellectual property rights in or to the Licensed Application or Digital Content are transferred to you.
4. Termination
- This Agreement and your license to use the Licensed Application will automatically terminate if you fail to comply with any term.
- Licensee may suspend, modify, or discontinue the Licensed Application or Digital Content at any time without notice.
- End Users acknowledge that access to the Digital Content is not guaranteed to continue indefinitely.
5. ESPN Content Terms
Where the Licensed Application includes ESPN-owned Digital Content:
- End Users acknowledge and agree that ESPN is the owner of such Digital Content.
- Licensee may modify or update this Agreement from time to time; provided that any modifications relating to ESPN content or intellectual property are subject to ESPN’s prior written approval.
- Upon ESPN’s request, Licensee may update this Agreement to reflect changes required by ESPN.
6. Disclaimer of Warranties
The Licensed Application and Digital Content are provided “as is” without warranty of any kind. You assume all risks associated with use.
7. Limitation of Liability
To the maximum extent permitted by law, Licensee, ESPN, and their licensors shall not be liable for damages arising from your use or inability to use the Licensed Application or Digital Content.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Delaware, without regard to its conflicts of law provisions.
By using the Licensed Application, you acknowledge that you have read, understood, and agree to be bound by this End User License Agreement.
